UNIFIED TERMS OF USE, END USER LICENCE AGREEMENT (EULA), ACCEPTABLE USE POLICY & AI DISCLAIMERS

These Terms constitute a legally binding agreement between Neoveda Technologies Private Limited (CIN: U78100UT2025PTC018919), a company incorporated under the laws of India with its registered office at PLOT NO 46, IT PARK SIDCUL, Dehradun, Dehradun, Uttarakhand, 248001, India (hereinafter referred to as "Knovia", "we", "our", or "us") and you, the user ("you", "user", "data principal").
By creating an account on Knovia.ai, accessing your dashboards, or using our AI-powered scoring and analytics, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy (available at https://www.knovia.ai/privacy-policy).
If you do not agree to these Terms, please do not access or use the Platform.
1. Eligibility
To use Knovia.ai, you must:
- Be at least 18 years of age, OR
- Be between 16 and 18 years of age with verifiable parental or legal guardian consent (when such features are made available under DPDPA compliance), AND
- Have the legal capacity to enter into a binding contract under the Indian Contract Act, 1872
Recruiters, colleges, and enterprise users must be duly authorised representatives of their respective organisations.
2. About Knovia.ai
Knovia.ai is a role-readiness and skills analytics platform that provides:
- Resume parsing, scoring, and ATS-friendliness analysis
- Technical Skill Evidence scoring through multiple verified sources
- AI-generated skill gap reports and learning recommendations
- Role fitment scoring based on the Knovia Role-Readiness Score (KRS)
- Behavioural and consistency analytics
- Verified evidence workflows (GitHub API, certificate validation, mentor confirmation)
- Recruiter dashboards and employer visibility features (current and planned)
The scoring methodology is based on the Knovia Predictor Framework, which may evolve as the Platform improves. Changes to scoring methodology will be communicated to users.
3. Account Creation, Security & Consent
You must provide accurate, current, and complete information during registration. You agree to:
- Keep your login credentials confidential and secure
- Be responsible for all activity occurring under your account
- Immediately notify us at support@knovia.ai of any unauthorised access
During registration, you will be required to:
- Review and accept the Privacy Policy and these Terms of Use via an active consent mechanism (checkbox)
- Provide your email address for account verification and communication
- Authenticate via Google OAuth 2.0 (we do not store your Google password)
We may suspend accounts that appear suspicious, abusive, or fraudulent.
4. Services Provided "As Available"
Knovia is in active development. Features may be added, modified, or temporarily unavailable. We do not guarantee:
- Uninterrupted or error-free service
- Exact accuracy of AI-generated predictions or scores
- Continuous availability of third-party APIs (GitHub, LinkedIn, course providers)
- Uptime of Azure Cloud or OpenAI API infrastructure
We will make reasonable efforts to notify users of planned maintenance or significant service changes.
5. User Responsibilities
By using Knovia, you agree to:
- Provide truthful and accurate data at all times
- Upload only certificates, resumes, and documents that you own or have legal rights to
- Not misrepresent your skills, qualifications, or evidence
- Follow academic integrity standards and avoid plagiarism
- Not share your account credentials with any other person
- Comply with all applicable laws while using the Platform
6. Recruiter & College Use
Recruiters and colleges may use Knovia ONLY to:
- Evaluate candidate employability based on opt-in visibility
- View scores and evidence snapshots of candidates who have consented to share
- Download reports for internal assessment purposes only
Recruiters and colleges may NOT:
- Create bulk profiles using student data without individual consent
- Scrape, export, or systematically download platform data
- Contact candidates without the candidate's explicit consent
- Use scores for discriminatory, biased, or prohibited hiring decisions
- Share downloaded reports or score data with unauthorized third parties
7. Payments & Subscriptions
(This section will be activated when monetisation commences.)
- All paid services will be listed with clear pricing on the pricing page
- Fees once paid are non-refundable unless otherwise stated in writing
- We may modify pricing with at least 30 days' notice
- Applicable taxes (GST and other levies) will apply as per Indian law
8. Intellectual Property
All intellectual property rights in the following belong to Neoveda Technologies Private Limited:
- Knovia's skill and role taxonomy, including all role-capability-skill mappings
- Predictor models, algorithms, and scoring methodology
- Knovia Role-Readiness Score (KRS) methodology and computation logic
- Dashboard UI/UX, reports, and visualisations
- AI-generated resume templates and skill gap report formats
- Combined Weighted Skill Evidence logic and Learning Quotient computation
- All custom-built data structures, ontologies, graphs, and algorithmic flows
You receive a limited, revocable, non-exclusive, non-transferable licence to use the Platform for personal, non-commercial purposes. You may NOT:
- Reverse engineer any score, model, predictor, or algorithm
- Replicate, copy, or distribute our skill taxonomy or scoring system
- Copy, reproduce, or redistribute reports, dashboards, or UI elements
- Use Knovia outputs to train AI models or build competing products
- Benchmark Knovia against other platforms without prior written consent
9. Prohibited Conduct
You agree NOT to:
- Upload fake, forged, or doctored certificates or documents
- Create accounts for other individuals without their consent
- Attempt to bypass admin validation or certificate review processes
- Scrape text, data, dashboards, or scoring outputs from the Platform
- Access or attempt to access other users' data without authorisation
- Interfere with, overload, or disrupt Platform systems or infrastructure
- Use bots, crawlers, scrapers, or automated scripts against the Platform
- Upload malware, viruses, or attempt to exploit security vulnerabilities
- Use the Platform to harm the reputation of individuals, institutions, or organisations
Violation of any of the above may result in immediate account termination, deletion of all scores and data, and legal action under the Information Technology Act, 2000 and other applicable laws.
10. Third-Party Integrations
Knovia integrates with several third-party systems. We are transparent about these integrations:
- Microsoft Azure - cloud hosting, compute, and storage infrastructure
- OpenAI APIs - AI text generation and analysis (data not used for model training)
- GitHub API - public repository metadata for technical skill evidence verification
- Google OAuth 2.0 - secure user authentication
- Email service providers - transactional and notification emails
- External learning platforms (Udemy, Coursera, LinkedIn Learning) - certificate URL verification
We are not responsible for downtime, API rate limits, or policy changes by third-party services.
11. AI Outputs & Limitations
Knovia uses OpenAI large language models (LLMs) via secure API calls to generate:
- Skill gap analysis reports
- Learning and course recommendations
- Resume improvement suggestions
- Scoring summaries and predictor explanations
You acknowledge and agree that:
- AI-generated text may contain inaccuracies, approximations, or omissions
- AI outputs are informational and advisory only - they are not deterministic or legally binding
- Knovia Role-Readiness Scores are indicators of readiness, not hiring decisions
- Recruiters and employers must apply independent human judgment in all hiring decisions
- AI-generated content is clearly labelled as such within the Platform
You agree NOT to use AI outputs for:
- Legal, medical, immigration, or financial decisions
- Automated hiring or rejection without human review
- Any purpose that may cause harm to individuals based solely on AI-generated scores
12. Data Usage & Privacy
Our Privacy Policy (available at https://www.knovia.ai/privacy-policy) governs how we collect, process, store, and protect your personal data. By using Knovia, you consent to:
- Storage of your personal data on Azure Cloud infrastructure
- Secure transmission of relevant data to OpenAI APIs for AI text generation
- Validation of your public GitHub metadata for evidence scoring
- Sharing your profile and score data with recruiters ONLY when you explicitly opt-in
Consent for each of these activities is obtained separately and can be withdrawn individually.
13. Data Deletion
You may delete your account at any time by emailing privacy@knovia.ai. Upon deletion:
- All personal data is permanently removed from active systems
- Backup copies are purged within our documented retention cycles (30-90 days)
- Recruiter visibility is revoked immediately
- All predictive model outputs, scores, and reports tied to your account are erased
- We will confirm deletion via email within 5 business days
14. Verification & Compliance
Knovia may verify the following to maintain platform integrity:
- Certificate authenticity (admin review process)
- GitHub profile and public repository metadata
- Work experience claims via mentor/manager confirmation
- Project and internship details
- Identity (planned for future phases)
- Academic records (through institutional partnerships)
Attempts to forge, fabricate, or misrepresent data may result in permanent account ban, deletion of all scores and data, reporting to the relevant academic institution, and legal action under the Information Technology Act, 2000.
15. Disclaimers
Knovia is not responsible for:
- Employment outcomes or job placements resulting from use of the Platform
- Hiring or rejection decisions made by recruiters or employers
- Accuracy of third-party data (GitHub repositories, external certificates, etc.)
- Authenticity of documents uploaded by users
- Network issues, downtime, or service interruptions
- Algorithmic limitations or edge cases in scoring
- Subjective interpretations of scores by colleges, recruiters, or employers
All scores, insights, reports, and AI-generated content are INFORMATIONAL ONLY and should be used as one input among many in decision-making processes.
16. Limitation of Liability
To the fullest extent permitted by the laws of India, Knovia (including its directors, officers, employees, and agents) is NOT liable for:
- Any direct, indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform
- Losses due to reliance on scores, AI-generated text, or platform outputs
- Employment or recruitment outcomes
- Damages arising from incorrect or incomplete user-provided data
- Third-party system failures, API outages, or data inconsistencies
Our total aggregate liability to you for any claims arising from your use of the Platform shall never exceed the total amount paid by you to Knovia in the 12 months immediately preceding the claim (or INR 1,000 if no payment was made).
17. Indemnity
You agree to indemnify, defend, and hold harmless Knovia and its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including legal fees) arising from:
- Your misuse of the Platform
- Upload of fake, forged, or copyright-infringing documents
- Illegal activities conducted using the Platform
- API misuse or violation of third-party terms through the Platform
- Unauthorised scraping, exporting, or redistribution of Platform data
- Your breach of these Terms
18. Suspension & Termination
We may suspend or terminate your account if:
- You violate these Terms or our Privacy Policy
- Your data appears fraudulent or manipulated
- There is a security risk to the Platform or other users
- Third-party API misuse is detected from your account
- We are required to do so by law or regulatory authority
Upon termination, your right to use the Platform ceases immediately. Data deletion procedures as described in Section 13 will apply.
19. Grievance Redressal
If you have any complaints or grievances regarding the Platform, our services, or data handling practices, you may contact our Grievance Officer:

Complaints will be acknowledged within 24 hours and resolved within 30 days. If you are not satisfied with the resolution, you may escalate the complaint to the Data Protection Board of India (for data-related complaints) or pursue dispute resolution as described below.
20. Governing Law & Dispute Resolution
These Terms are governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.
Any disputes arising from or in connection with these Terms shall first be attempted to be resolved amicably through good-faith negotiation for a period of 30 days.
If amicable resolution is not achieved, the dispute shall be referred to binding arbitration under the Arbitration and Conciliation Act, 1996. The arbitration shall be conducted:
- By a sole arbitrator mutually agreed upon by both parties
- In English language
- With the seat of arbitration in Dehradun, Uttarakhand, India
The courts of Dehradun, Uttarakhand, India shall have exclusive jurisdiction for any matters not subject to arbitration.
21. Changes to These Terms
We may update these Terms from time to time. When material changes are made:
- We will update the "Last Updated" date at the top of this document
- We will notify you via email to the address associated with your account
- We will display a prominent in-app notification
- Where required, we will seek your renewed consent
Your continued use of the Platform after the updated Terms are posted constitutes your acceptance of the changes.
22. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be severed from these Terms, and the remaining provisions shall continue in full force and effect.
23. Entire Agreement
These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Knovia regarding your use of the Platform, and supersede all prior agreements, understandings, and communications.
